Terms and Conditions

1. General

1.1. These Terms and Conditions govern the use of the website vayax.com (the “Website”), operated by VAYAX SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ, a company registered in Poland, with its registered office at Modlińska 125A/7, 03-186 Warsaw, Poland, NIP: 1133178944, KRS: 0001193589 (hereinafter referred to as “VAYAX”, “we” or “us”).

1.2. By using the Website, you agree to these Terms and Conditions. If you do not agree, please do not use the Website.

1.3. Our services are provided to businesses (B2B). Transport and forwarding services are carried out under separate agreements, order confirmations or offers. These Terms apply to such services only where expressly incorporated into the relevant agreement.

2. Use of the Website

2.1. The Website provides information about our logistics and transport services and allows visitors to contact us and request quotations.

2.2. You agree to provide accurate information, not to misuse the Website, not to attempt unauthorised access and not to transmit malicious files or unlawful content.

2.3. We reserve the right to modify, suspend or discontinue any part of the Website at any time, subject to applicable law.

3. Quote Requests

3.1. Submitting a request through the Website constitutes an enquiry only. It does not constitute an order or create a binding contract.

3.2. A quotation is not binding unless expressly confirmed by VAYAX in writing, including by e-mail. Quotations are subject to availability and may be revised before acceptance. Any validity period expressly stated in a quotation shall apply.

3.3. The final price and conditions may change if the shipment details differ from those originally provided, including weight, dimensions, cargo type, route, loading date, waiting time or additional services.

4. Contract for Carriage or Forwarding

4.1. A contract for carriage or forwarding is concluded when VAYAX accepts an order in writing, including by e-mail, or otherwise in accordance with the applicable agreement and law.

4.2. The relevant agreement or order confirmation specifies the applicable services, route, loading and delivery locations or time windows, cargo description, price and payment terms.

4.3. Delivery times are estimates unless a fixed delivery deadline is expressly agreed in writing. Estimated times of arrival (ETA) are provided for information and may change due to traffic, weather, border procedures or other circumstances affecting transport operations.

5. Customer’s Obligations

5.1. The customer must provide complete and accurate information about the cargo, including weight, dimensions, packaging and any dangerous goods (ADR) or special handling requirements.

5.2. The cargo must be properly packed, labelled and ready for loading at the agreed time and place, unless otherwise agreed.

5.3. The customer is responsible for providing correct transport documents and, where applicable, customs and export or import information.

5.4. We may refuse or suspend carriage of cargo that is unlawful, undeclared, dangerous without proper declaration or improperly packed, subject to the applicable agreement and law.

6. Prices, Payment and Additional Charges

6.1. Prices are stated in the currency indicated in the quotation and are exclusive of VAT unless expressly stated otherwise.

6.2. Payment is due within the period stated in the invoice or agreed contract. In the event of late payment, we may charge statutory interest for late payment in commercial transactions, where applicable.

6.3. Additional charges may apply, including for waiting time, demurrage, changes to routes or dates, cancellations, tolls or additional services, where agreed or otherwise permitted by the applicable contract and law.

7. Liability

7.1. Our liability for loss of, damage to or delay in delivery of cargo is governed by the law applicable to the relevant contract, including the CMR Convention for international road carriage where applicable, and any terms expressly agreed between the parties.

7.2. Any limitation or exclusion of liability applies only to the extent permitted by applicable law and mandatory international conventions. We recommend that customers consider cargo insurance appropriate to the value and nature of their goods. Cargo insurance may be arranged upon request, subject to separate agreement and availability.

7.3. We are not liable for loss or damage to the extent that liability is excluded under applicable law, including where loss or damage results from circumstances for which the customer is responsible, defects or inadequacy of packaging, or other legally recognised grounds.

7.4. Claims relating to cargo loss, damage or delay must be submitted in accordance with the procedures and time limits established by the applicable law, international conventions and relevant contract.

7.5. We make reasonable efforts to ensure that the Website is accurate and available. However, we do not guarantee uninterrupted or error-free access. To the extent permitted by law, we are not liable for damage arising from the use or unavailability of the Website.

10.2. We aim to acknowledge complaints within 14 days of receipt. The time required to investigate and resolve a complaint may vary depending on its nature and the applicable legal requirements.

10.3. Complaints concerning transport or forwarding services are handled in accordance with the applicable contract, law and international conventions.
